Nash Fitzwilliams has a longstanding presence within the angel, independent financial adviser and private equity community and is dedicated to maintaining and expanding its network of investors in both the UK and abroad. Our firm offers a global distribution platform with the bespoke, partner-level attention of a boutique investment bank. Having built up an extensive network of individuals, families and entrepreneurs, a large number of our transactions are sourced through referrals and introductions. Thus Nash Fitzwilliams can source proprietary private equity and debt investment opportunities which are not often generally available around the market.
Our private placements business is open to propositions from a wide-variety of industries, as we do not have a sectoral specialisation and focus on companies seeking £2m or more to fund expansion, capital expenditure or an acquisition. We have successfully financed companies within the following sectors: Telecommunications, Media & Technology (TMT), Pharmaceutical, Property, Mining, Oil & Gas, Apparel, Veterinary Services and Life Sciences.
Our comprehensive service includes identification of an opportunity, as well as its evaluation, negotiation, structuring, the production of placing documents and the financing itself, in addition to the essential due diligence exercise and the orchestration of requisite advisers such as legal, financial, accounting or tax.
Our style is to work closely with management both before and after our transactions. After the business has been capitalised, we seek to bring the full breadth of our network to bear for the benefit of our clients, including follow-on financings, strategy and implementation, sales and marketing, and corporate governance. We consistently monitor our investments and ensure regular written updates are sent to shareholders as we believe that keeping them informed is a central part of the private placement business.
We are not a manager of funds but invariably invest our own personal capital alongside investors we introduce to a transaction on the same terms although the firm charges fees in line with market practice. Equity placements are typically completed with syndicates of investors, including individuals and institutions. Our fee structure depends upon the exact nature of the particular transaction and comprises a mixture of corporate finance fees for document preparation and structuring/corporate finance advice, and success or placement fees which are contingent on performance. We also charge a small monitoring fee following completion. In order to align our rewards to those of the investors’ in each transaction, we ask for a significant portion of our overall compensation through warrant or junior equity participation.
